Bylaws

The Bylaws are our primary governing document and provide the framework for our operation and management. The Bylaws guide the actions and decisions of the Board of Directors.

Executive Board

The executive board is responsible for the strategic direction of ITS Midwest. The board is ultimately accountable for and has oversight over the operation of the chapter.

The Chapter Board Members are elected by a majority vote of Chapter membership (Primary Corporate Members and Individual Members in good standing). Typically, nominations for the ITS Midwest Board occur shortly before the Annual Meeting with the election scheduled to run until the start date of the Annual Meeting. The Board will announce the specific dates to current members. Nominating and election procedures are established in the Chapter Bylaws (see above).

The Officers serve a two-year term. Officers traditionally serve only one term in the same office, except for the Treasurer who can serve no more than three consecutive terms. Nominations may also be made from the floor at the Chapter meeting prior to the annual business meeting.

The board meets monthly on the last Thursday of the month.

Terms of Office

  • The terms of office of each Officer shall begin at the close of the annual meeting at which their election is announced and shall end at the close of the next annual meeting at which their terms expire.
  • The Secretary/President-Elect and two (2) Vice Presidents shall be elected in odd-numbered years
  • The Treasurer and two (2) Vice Presidents shall be elected in even-numbered years.

Officers' Roles & Responsibilities

President

  • Acts as chief executive officer
  • Exercises general supervision over the affairs of the Chapter consistent with policies established by the Board of Directors
  • Presides at all meetings of the members, Board of Directors, and Executive Committee
  • Is the principal spokesperson for the Chapter
  • Serves ex officio on all committees except the Nominations Committee
  • Performs all duties incidental to the office of President and such other duties as may be prescribed by the Board of Directors.

Vice President

  • Might perform the duties of the President in the absence of the President and Secretary/President-Elect, or in the event of the President's and Secretary’s inability or refusal to act
  • Performs such other duties as may from time to time be prescribed by the Board of Directors or the President

Treasurer

  • Keeps correct and complete records of accounts, that always accurately reflect the Chapter’s financial condition.
  • Is the legal custodian of all monies, notes, securities, and other valuables which may from time to time come into the Chapter's possession
  • Manages the chapter finances and financial records
  • Furnishes a statement of the financial condition of the Chapter at each Executive Committee and Board of Directors meeting
  • Performs any other duties as Bylaws may require or the Board of Directors may prescribe

Secretary/President-Elect

  • Is both Secretary and President-Elect of the Chapter when elected by the membership
  • Gives notice
  • Prepares minutes
  • Keeps all non-financial records for Executive Committee and Annual Meetings
  • Performs all other duties assigned by the President or the Board of Directors.
  • Performs the duties of the President in the absence of the President, or in the event of the President’s inability or refusal to act

Immediate Past President

  • Ensures continuity
  • Coordinates the work of standing committees
  • Provides such assistance as may be requested by the President.

Directors

The Directors coordinate the efforts of ITS Midwest member's volunteers to accomplish the activities of ITS Midwest.

The Directors assume the responsibility of running most of the day-to-day affairs of ITS Midwest under the direction of the Executive Board (Officers).

The Directors are elected by ballot of the membership at the Annual Meetings. Each Chapter state is represented by two (2) Directors. Typically, nominations occur shortly before the Annual Meeting with the election scheduled to run until the start date of the Annual Meeting. The Board will announce the specific dates to current members. Nominating and election procedures are established in the Chapter Bylaws (see above).

How long does a Director serve on the board?

  • The Directors serve a two-year term.
  • A Director shall serve as such no more than two (2) consecutive terms.
  • The terms of office of each Director shall begin at the close of the annual meeting at which their election is announced and shall end at the close of the next annual meeting at which their terms expire. For details and exceptions see the ITS Bylaws.
  • For each Chapter State the two Directors are elected as follows: one in odd-numbered years, and the other one in even-numbered years.
